Terms of Service

1. Bluebend services and your agreement

Bluebend AI LLC, a California limited liability company (“Bluebend,” “we,” “us”), provides managed AI assistants, technology consulting, workflow automation, software, integrations, training, and related support for business and organizational use.

These terms describe authorized use of those services and connected applications. Services are provided only under a written statement of work, order form, or other engagement agreement approved by Bluebend and the client. Any incorporation of these terms must follow that agreement’s approval requirements. Browsing this website, signing into an integration, or paying an invoice does not by itself authorize new services or amend an existing agreement.

An applicable signed Master Services Agreement (MSA), statement of work (SOW), order form, or data-processing agreement controls over these terms for any conflict, subject to that agreement’s own precedence and amendment rules. Nothing here reduces mandatory legal rights or permissions and privacy protections required by a connected platform.

2. Service scope and authorized users

Your engagement agreement identifies the included services, assigned users, systems, data, deliverables, support, fees, and term. New workflows, integrations, custom development, expanded data access, or additional action permissions require the written approval required by that agreement.

Use only your assigned account and approved resources. Do not share credentials, access another user’s information without authorization, or bypass access, usage, security, or human-approval controls. A connected account’s technical permissions do not authorize every action those permissions could permit.

You are responsible for having the rights, permissions, notices, and consents needed to provide information or authorize access, and for the accuracy and lawfulness of your instructions. An individual acting for an organization must have appropriate authority.

3. Connected Google and other accounts

Where included in your approved service, Google connections may support reading calendar information, preparing or changing calendar events, finding document metadata, and creating, reading, or editing documents and files available to the connected application. Available features depend on the approved integration and the permissions you grant. A connection does not automatically enable every feature or provide unrestricted access to your account.

Authorization is through the relevant provider’s sign-in and consent process. Bluebend does not ask you to give an AI assistant your Google password. You may revoke Google access through your Google Account’s third-party connections settings. Revocation stops future access through that authorization but does not automatically delete information already processed or records retained under your agreement and our Privacy Policy.

The provider’s applicable terms also apply. Account restrictions, revoked permissions, expiring authorizations, outages, service changes, and rate limits may interrupt an integration. Bluebend’s own obligations under your agreement remain unchanged.

4. AI limitations and human approval

AI can produce inaccurate, incomplete, outdated, biased, unsuitable, or non-unique results. Review and validate outputs before relying on them, sending them externally, publishing them, or using them for operational decisions. People remain responsible for final decisions and approvals.

Unless your SOW expressly authorizes an action type and states its human-approval process, AI outputs are drafts or decision-support materials. The service must not send external communications, delete records, change production systems, make calendar commitments or payments, submit forms, or take other material external actions on your behalf. A provider consent screen does not replace this approval requirement.

Uses materially affecting rights, health, safety, finances, employment, education, or access to important resources require express SOW authorization and appropriate safeguards. Services and outputs are not legal, tax, medical, accounting, financial, pastoral, or other regulated professional advice unless expressly agreed and appropriately qualified.

5. Information, confidentiality, and security

You retain your data and existing materials. Bluebend uses client information only for the agreed services and permitted support, security, troubleshooting, legal, and documentation purposes. Each party protects the other’s confidential information with at least commercially reasonable care and limits disclosure to authorized recipients with appropriate confidentiality obligations or as required by law.

Provide only data approved for the engagement. Sensitive or restricted information requires the agreed data categories, purposes, safeguards, retention terms, and any required supplemental agreement before processing. Bluebend may pause affected work when unexpected restricted information or unsafe conditions are encountered.

Our Privacy Policy explains information handling, including connected Google data. Bluebend does not sell client data or use it for advertising or unrelated purposes. Google user data is not used to train or improve generalized or shared AI models. Other client-data model-training uses, if any, require express written authorization and must comply with applicable platform restrictions.

Bluebend uses commercially reasonable safeguards appropriate to the service. No system is perfectly secure. Applicable agreement provisions govern incident notification, retention, return, and deletion. This public notice does not replace an agreed data-processing or security addendum.

6. Acceptable use

Do not use the services to violate law or another person’s rights; commit fraud; create malware, phishing, credential theft, spam, harassment, or abusive content; bypass safeguards; obtain unauthorized access; process prohibited data; or conduct unapproved high-impact activities. Do not resell or commercialize Bluebend’s reusable materials unless expressly permitted.

Bluebend may suspend affected service where reasonably necessary to address prohibited use or legal, security, safety, or third-party-service risk, subject to the governing agreement.

7. Fees, renewal, and cancellation

Prices, billing schedules, third-party costs, service periods, renewal, cancellation, and refund rights are stated in your engagement agreement. No universal price, automatic renewal, new cancellation rule, or additional usage charge is created by these terms. Scope and fee changes require the agreement’s written approval process. Payment collects the agreed fee; it does not expand data access or action authority.

8. Ownership and licenses

You retain your existing data and materials. Bluebend retains its reusable software, tools, prompts, configurations, methods, workflows, and know-how. Your agreement determines licenses and any assignment of specifically identified custom deliverables after full payment. Purchasing managed service does not transfer ownership of Bluebend’s platform or grant perpetual hosting or subscription access.

Third-party materials remain subject to their owners’ terms. Rights in AI outputs exist only to the extent recognized by law; uniqueness, exclusivity, protectability, and non-infringement are not guaranteed.

9. Service warranty and limitations

Bluebend warrants professional and workmanlike performance consistent with the applicable SOW. Unless the governing agreement provides otherwise, the exclusive remedy for breach of that service warranty is, at Bluebend’s option, re-performance or refund of fees paid for the specific nonconforming services.

Except for express warranties and rights that cannot lawfully be excluded, services, deliverables, and AI outputs are provided as is and as available. Bluebend does not guarantee AI accuracy, business results, uninterrupted operation, or protection against every security threat. Support levels, response targets, backups, recovery services, and availability commitments apply only as expressly agreed.

10. Liability and governing law

The governing agreement’s liability, indemnity, dispute, and remedy provisions remain controlling. Where these terms are expressly incorporated without different agreed liability terms, and to the extent permitted by law, neither party is liable for indirect, incidental, consequential, exemplary, or punitive damages, including lost profits, revenue, data, or business interruption. Each party’s aggregate liability is capped at fees paid or payable under the affected engagement in the twelve months before the event.

A cap of two times those fees applies instead to confidentiality breaches, breaches of agreed data-processing terms, security breaches caused by failure to meet obligations, and agreed indemnity obligations. The highest applicable cap controls; caps are not cumulative. Caps do not apply to client payment obligations, either party’s fraud or willful misconduct, client misuse of Bluebend materials, or claims that cannot lawfully be limited. These terms create no new indemnity obligation.

Unless your agreement states otherwise, California law governs and courts in Los Angeles County, California are the exclusive venue, subject to applicable nonwaivable law.

11. Ending access and updates

Termination, suspension, surviving licenses, fees, and data return or deletion follow your governing agreement. Revoke connected-account permissions when access is no longer appropriate. Any required offboarding or deletion request should also be sent to Bluebend.

Updated website text does not unilaterally amend an existing signed agreement. Before accessing a Google data type not previously disclosed, or using Google user data in a new way or for a different purpose than previously disclosed, we will update the relevant disclosures, notify affected users, and obtain their consent.

12. Contact

For service, privacy, or access questions, contact andrew@bluebend.ai. Formal contract notices must follow the notice procedure and designated contacts in your engagement agreement.
